Client Terms of Engagement

Leadership Transition works with senior executives on a professional advisory basis built on mutual trust, confidentiality, and collaboration. These Terms of Engagement set out the framework under which our services are delivered and ensure clarity of expectations for both parties.

These Terms of Engagement govern the relationship between Leadership Transition Ltd (“Leadership Transition”, “we”, “our”) and the client (“Client”, “you”) for the provision of executive transition advisory services. By engaging our services, the Client agrees to the following terms.

1. Scope of Services
Leadership Transition provides strategic advisory support to executives navigating career transitions. Our services focus on three core areas: Career Transition Coaching, Personal Branding and Executive Positioning, Strategic Research, Market Insight and Networking Support (Always Networking)

Services may include, but are not limited to: Resume / CV development, Board biography writing, LinkedIn profile optimisation, Executive summaries and introduction letters, Elevator pitch development, Executive coaching sessions, Strategic research and networking facilitation, Visibility Quotient diagnostics, TransitionHub community access. Specific services, deliverables, and fees will be outlined in the Client’s proposal or service agreement.
Use of Specialist Contributors: Leadership Transition may engage trusted specialist contributors, coaches, researchers, designers, or other professional partners to support the delivery of services. All contributors operate under the direction of Leadership Transition and are bound by appropriate confidentiality and professional standards. Leadership Transition remains responsible for the overall coordination and delivery of the services provided to the Client.
Use of Technology and AI Tools: Leadership Transition may use professional research tools, software, and artificial intelligence technologies to assist in the preparation of research, analysis, and written materials. All outputs are reviewed and refined by Leadership Transition before being provided to the Client. Leadership Transition does not upload confidential client information to publicly accessible systems without appropriate safeguards.

2. Nature of Advisory Services
Leadership Transition provides strategic advisory services on a best-efforts basis. Our services are designed to support executives in clarifying their career direction, strengthening their professional positioning, and expanding their professional networks. However, Leadership Transition does not guarantee employment, board appointments, introductions, or other specific outcomes, as these depend on external market conditions and third-party decisions.
Clients remain responsible for all decisions and actions arising from the use of our services. Leadership Transition does not provide legal, financial, or recruitment services, and nothing within our services should be interpreted as such.

3. Changes to Project Scope
If the Client requests a material change to the agreed research brief, networking strategy, or project scope after work has commenced, Leadership Transition may apply a $500 scope adjustment fee.
This clause applies particularly to services involving strategic research and networking support (Always Networking), where changes to target sectors, geographies, or outreach strategy may require additional research and project redesign. Any revised scope will be confirmed in writing.

4. Client Participation
The effectiveness of our services depends on active collaboration. Clients agree to provide accurate and timely information, participate in scheduled meetings or coaching sessions, provide feedback during the review process If a project becomes inactive due to four weeks or more of client non-response, Leadership Transition reserves the right to apply a $500 project restart fee before resuming work.

5. Personal Branding Services
The following applies to personal branding services offered by Leadership Transition Ltd, including CV/Resume writing, board bio writing, introduction letters, LinkedIn profile reviews, and elevator pitch development.
Client Responsibilities: The Client agrees to provide an older version of their CV (if available) and other relevant information including; career history, leadership experience, achievements, key skills, career goals.  Clients are expected to participate in an interview process designed to assess strengths, leadership style, and career direction.
Review and Revision Process: Clients are entitled to up to five rounds of revisions for each deliverable (such as CV, Board Bio, or Introduction Letter). Revisions are limited to changes within the original agreed scope. Additional revisions beyond the agreed number may incur additional fees.

6. Post-Completion Updates
Following final sign-off of personal branding deliverables, clients may request one complimentary revision within three months of completion. After the three-month period, requests for revisions or updates to a CV/Resume or Board Bio will incur a $799 update fee per document.  For minor updates to editable Word documents, a fee will be quoted upon request, depending on the scope of changes.

7. Networking and Third-Party Interactions
Leadership Transition may facilitate networking introductions or connections with third parties as part of its strategic research and networking services. While we aim to facilitate meaningful conversations, we do not control the actions, responses, or decisions of third parties and therefore cannot guarantee meetings, opportunities, or business outcomes resulting from introductions.
Research outputs, including contact lists and networking insights provided as part of our services are intended solely for the Client’s personal professional use and may not be redistributed, published, or commercially shared without written permission.
Outreach conducted as part of networking services is intended solely to facilitate professional introductions and discussions and does not constitute solicitation, recruitment representation, or endorsement of any party.  Such outreach is conducted in a professional manner and recipients are provided with a clear and respectful option to decline further communication.
Research outputs and contact information provided as part of networking services are intended solely to support professional networking and relationship building. Clients agree to use such information responsibly and in compliance with applicable communication and marketing laws and not to engage in unsolicited mass outreach, harassment, or misuse of the contacts provided.

8. Transition Coaching
Transition coaching services are intended to support reflection, strategic thinking, and career planning. Coaching is not psychological therapy, counselling, or mental health treatment, and Leadership Transition does not provide clinical or medical services. Clients remain responsible for all personal, professional, and business decisions arising from coaching discussions.

9. Fees and Payment
Service fees and payment schedules are outlined in the Client proposal or service agreement. Where installment payments are agreed, payments are due according to the agreed schedule and are not contingent upon specific project milestones. Late payments may result in suspension of services.

10. Confidentiality
Both parties agree to maintain the confidentiality of any sensitive information shared during the engagement. This includes personal information, professional materials, research insights, and contact information obtained during the course of the project. Confidentiality obligations continue beyond the duration of the engagement.

 

11. Intellectual Property
All professional documents produced for the Client (including CVs, board bios, executive summaries, and related materials) become the property of the Client upon completion and payment of the agreed service fees. Leadership Transition retains ownership of its methodologies, frameworks, templates, research processes, and advisory approaches used in delivering services. Leadership Transition is not responsible for storing client documents following project completion. Clients are responsible for maintaining their own records.
Use of Materials and Recordings: Coaching sessions, workshops, and advisory discussions are intended solely for the Client’s personal professional development. Clients may not record sessions or reproduce, distribute, or publicly share Leadership Transition materials, frameworks, or research outputs without prior written permission.

 

12. Limitation of Liability
Leadership Transition provides professional advisory services but cannot guarantee outcomes. To the fullest extent permitted by law, Leadership Transition shall not be liable for indirect, incidental, consequential, or reputational losses arising from the use of our services. Our total aggregate liability for any claim related to the services shall be limited to the total fees paid by the Client under the relevant engagement.

13. Professional Conduct
Clients agree to engage respectfully with Leadership Transition team members, coaches, community participants, and third parties introduced through our services. Leadership Transition reserves the right to suspend services or community access in cases of inappropriate or unprofessional conduct. Leadership Transition is not responsible for advice or opinions shared by other members within the TransitionHub community. Participation in the TransitionHub community is subject to community guidelines which may be updated periodically.

14. Governing Law
These Terms of Engagement are governed by the laws of the United Kingdom.
